Terms and Conditions

The SmartHealth Website (‘Site’) is an online information source and retail portal owned and operated by Beachhead Holdings Pty Ltd ('We', 'Us' and 'Our'), for purchasing pathology requests (‘Products’) online.  Beachhead Holdings Pty Ltd is, from time to time, supported by its related bodies corporate (as that term is defined in the Corporations Act 2001 (Cth)), therefore for the purposes of these Terms and Conditions (‘Terms’), 'We', 'Us' and 'Our' will include Beachhead Holdings Pty Ltd's related bodies corporate, as and where applicable.

These Terms and Conditions outline Our rights and responsibilities, and the rights and responsibilities of the user of the Site and the entity that the user of the Site represents ('You', 'Your' or ‘Yourself’).

By using, browsing or accessing the Site, or using or receiving the Products from the Site, You agree to be bound by these Terms.  We encourage You to read these Terms carefully.

1.  Authority to enter into Terms

You represent to Us that You have the power to enter into and perform Your responsibilities under these Terms and to carry out the transactions contemplated by these Terms.  If You are entering into these Terms on behalf of an entity, such as the company You work for, You represent to Us that You have legal authority to bind that entity.

You further represent that You are entering into these Terms as an agent for a third party patient (‘Patient’), therefore in providing the Products to You, We are relying on the representations, warranties,  undertakings and acknowledgements You make in these Terms.

2.  Administrator

You must nominate a person to be Your ‘Administrator’ (noting that the Administrator can be Yourself), being the person responsible for establishing and maintaining Your Account (as defined in clause 3 below).

Before naming an Administrator (if not You), You must ensure that a copy of these Terms is brought to the attention of the Administrator.  We are relying on You complying with this obligation in agreeing to provide Products to You.  The Administrator (if not You) will be bound by these Terms at the time it commences using, browsing or accessing the Site.

3.  Your Account

To access the Products, You (or Your representative, which can be Your Administrator) must complete the registration process on the Site and set up an account (‘Your Account’).

The registration process will require You to register details regarding the Administrator, as well as details regarding Yourself.  We may require You or Your Administrator to confirm certain details provided, including but not limited to Your or Your Administrator’s email address.

During the registration process, You will be required to acknowledge Your acceptance of these Terms.  By clicking a check box presented with these Terms during the registration process, You expressly acknowledge that You have read and agree to be bound by these Terms (although any prior use, browsing of or access to the Site, or any use or receipt of Products from the Site, will be deemed acceptance).

Once the registration process is complete and Your Account is established, the Administrator will be able to personalise Your Account, namely by (but not limited to) selecting a payment plan and nominating a credit card for payment.  The Administrator will be responsible for maintaining Your Account, including ensuring all details are correct and up-to-date.

The Administrator may, depending on the payment plan selected, nominate up to five (5) of Your employees, contractors, agents or officers (‘Nominated Users’) who will be able to place orders for Products, and receive pathology results, via the results portal which will be linked to Your Account (‘Results Portal’).  The Administrator may also be a Nominated User.

You acknowledge it may take Us 2-3 business days to provide full access to the Results Portal, after the registration process is completed and Your Account has been established.

Pathology results will be accessible via the Results Portal on the Site.  For security reasons, pathology results will be stored on an external website, accessible via the Results Portal on the Site.  A separate username and password, as well as acceptance of separate terms and conditions, may be required to access the Results on the external website.

For the avoidance of doubt, as the Results Portal will be linked to Your Account, any reference in these Terms to ‘Your Account’ will include a reference to the Results Portal.

4.  Ordering Products

Orders for Products can only be placed in accordance with the instructions of, or with the consent from, the Patient for whom You are acting as agent.  By placing an order, You represent to Us (and We rely upon the representation) that You have obtained such instructions or consent from the relevant Patient.

The Nominated Users can order Products via the Ordering Platform, which can be accessed by entering their User Name and nominated password into the Site.  To complete an order for Products, the Nominated Users will need to input certain information regarding the relevant Patient, as well as the relevant Product required.

Before finalising an order and accessing Our Products, the Nominated Users will be required to acknowledge their acceptance of Our Policies (as defined in these Terms) by clicking the check box presented at the time of ordering the Products along with these Terms.  The Nominated Users will be bound by these Terms on clicking the check box presented at the time of ordering the Products along with these Terms or, if earlier, by using or receiving the Products described in these Terms in any manner or using, browsing or accessing the Site.

Immediately upon finalising an order (or if there is some form of network or server issue, as soon as possible after finalising an order) for Products, the relevant Nominated User who submitted the order will be sent, and will be asked to download, the pathology request the subject of the order, as well as the corresponding invoice for the order, to save, print or send.  If the pathology request and invoice are not delivered or are lost, You (or Your Administrator or one of Your Nominated Users) can call or email Our Head Office, which is open Monday to Friday between 9:30am - 4:30pm AEST, to request that a replacement pathology request and invoice be issued.

5.  Billing

A.  Pay-As-You-Go Account

As part of the registration process, You must establish a Pay-As-You-Go account with Our gateway provider, in which You must nominate payment by credit card directly with Our gateway provider.  As part of this process, You must provide Our gateway provider with current, valid and accepted credit card details, which You can manage from time to time via Your Account (‘Payment Details’).

We will not, at any stage, have access to Your credit card details.

B.  Billing for Products

You agree to Us automatically charging You via Our gateway provider for the Products at the 'point-of-order' (being the time the Nominated User submits the order for Products).  You further agree that We (or Our gateway provider) may undertake verification to confirm the validity of Your registration details, including but not limited to confirming Your email address, from time to time.

You warrant to Us that each of the Nominated Users, as well as Your Administrator, has the authority to submit orders for Products on Your behalf.

C.  Billing for Plan Fee

A monthly service fee will be charged to You, based on the payment plan You choose to subscribe for (Plan Fee).  This Plan Fee is payable by You in addition to the payment for Products outlined in clause 3(B) above.

Although the Plan Fee will typically be calculated and billed to You monthly, We may bill You more frequently for Plan Fees accrued, if We suspect that Your Account is fraudulent or at risk of non-payment.

You agree to Us automatically charging You via Our gateway provider the Plan Fee for each month in advance, commencing on the ‘Plan Fee Commencement Date’, which will be:

if You are eligible for a free trial, the first day following the end of Your free trial; or

if You are not eligible for a free trial, the day on which You establish Your Account.

Following the first payment of the Plan Fee on the Plan Fee Commencement Date, You agree to Us automatically charging You via Our gateway provider each month in advance, on the calendar day corresponding to the Plan Fee Commencement Date.  If the Plan Fee Commencement Date occurred on a day not contained in a given month (for example, the Plan Fee Commencement Date occurred on the 31st day of a month and in subsequent months there are only 30 days), You agree to Us automatically charging You via Our gateway provider on the first day of the following month.

If, at any stage, You wish to change Your project plan, Your Administrator can make this change in Your Account.  Any ensuing change to Your Plan Fee will appear in the next billing cycle, where the relevant amount payable will be adjusted to account for the proportion of the prior month spent on the different project plans.

We are not obligated to provide Products to You if, for any reason, You default in Your payment of a Payment Fee.

D.  Free Trials

Your use of the Site may start with a free trial.  The free trial period lasts for 30 days, or as otherwise specified during registration and is intended to allow new users to try the Site.  You will be notified during registration whether You are eligible for a free trial.  We reserve the right, in our absolute discretion, to determine Your eligibility for a free trial and, subject to applicable laws, to withdraw or to modify a free trial at any time without prior notice and with no liability.

If You are eligible for a free trial, We will require You to provide Your Payment Details to start the free trial.  At the end of Your free trial, We will automatically start to charge You for the applicable Plan Fee on the first day following the end of the free trial (the ‘Plan Fee Commencement Date’, as noted above), on a recurring monthly basis in accordance with clause 3(C) above.  By providing Your Payment Details in conjunction with the free trial, You agree to this charge.  You will not receive a notice from Us of this charge, nor will You receive notice that We have begun to charge You the Plan Fee on a recurring monthly basis.  If You do not want this charge, You must terminate Your Account before the end of the free trial.

E.  GST

All amounts on the Site are shown in Australian dollars, and do not include Goods and Services Tax (‘GST’).

F.  Billing Name

For privacy reasons, Your Visa, Mastercard and American Express statement narratives will display one of Our other ASIC registered trading names.

G.  Refund Policy

Unused or expired pathology requests are non-refundable and expire after 90 days.  However, based on merit or extenuating circumstances, We may reissue lost or expired pathology requests.  Please contact Our Head Office, which is open Monday to Friday between 9:30am - 4:30pm AEST to discuss.

If You do not want to continue to be charged on a recurring monthly basis, You must cancel You Account before the end of the recurring monthly period.  We will not refund any Plan Fees for which You have already paid.

H.  Responsibility for payments

You will be responsible for paying all charges on Your Account, whether or not they have been incurred by You personally.

6.  Changes to Products or pricing

We reserve the right to update and change prices at Our discretion and/or to cancel or amend orders if Products have inadvertently been listed at an incorrect price.

We further reserve the right to change, discontinue or otherwise vary any of the Products, or change or remove features or functionality from our Product offering from time to time.

If We exercise our right to make a change in accordance with the above, We will notify You of the relevant change as soon as practicable.  If You do not agree with the relevant change, then You may cancel Your Account.

If for any reason You wish to amend Your order, please contact Our Head Office, which is open Monday to Friday between 9:30am - 4:30pm AEST.

7.  Changes to Terms

We may revise these Terms from time to time by posting an updated version of them on the Site.  Your use of the Site and/or acceptance of the Products constitutes acceptance of the most recent Terms.  By continuing to use the Site, You agree to be bound by the most recent Terms.  It is Your responsibility to check the Site regularly for updated versions of the Terms.  If You do not accept the Terms, please do not use the Site or accept the Products.
